Terms of Service

Please read these terms of service carefully before using ReachEquine.

About ReachEquine

ReachEquine is a product of Horse Auction Report LLC ("Company", "We", "Us", or "Our"). This platform provides catalog and consignment management services for horse sales, auctions, and related equine events operated by independent organizations ("Tenants").

Platform Role and Liability

ReachEquine is a technology platform only. We provide software and services that enable Tenants (sale companies, ranches, auction houses, etc.) to manage their sales and catalogs.

The Company has no liability related to:

  • The conduct of any sale, auction, or transaction facilitated through the platform
  • The accuracy, quality, safety, or legality of horses or items listed in catalogs
  • The ability or willingness of Tenants, Consignors, or buyers to complete transactions
  • Disputes between Tenants, Consignors, buyers, or any other parties
  • Any injuries, losses, or damages arising from equine activities or transactions

All sales, auctions, and transactions are conducted by independent Tenants. Any disputes, claims, or issues must be resolved directly between the parties involved. The Company is not a party to any such transactions and provides the platform "as-is" for organizational use.

Utah Equine Activity Liability Warning

WARNING UNDER UTAH CODE § 78B-4-201 through 203:

Under Utah law, an equine activity sponsor or equine professional is not liable for an injury to or the death of a participant in equine activities resulting from the inherent risks of equine activities, pursuant to Utah Code § 78B-4-201 through 203.

This platform may be used to list, promote, or facilitate equine activities. By using this Service, you acknowledge that equine activities involve inherent risks including but not limited to: unpredictable animal behavior, falls, collisions, and equipment failure. Participation in any equine activity is at your own risk.

User Accounts and Access

You represent that you are over the age of 18 and legally capable of entering into binding contracts. The Company does not permit those under 18 to use the Service without parental consent.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Consignor Submissions and Data

Submission of Horses and Items

Consignors may submit information about horses or items for inclusion in Tenant catalogs. By submitting any information, you warrant that:

  • You have the legal right to consign the horse or item
  • All information provided is accurate and complete to the best of your knowledge
  • You have rights to any photos, videos, or other media submitted
  • The submission does not infringe on any third-party rights

Data Visibility and Confidentiality

Important: Data submitted by Consignors or other users through the Service may be accessed by Horse Auction Report LLC staff for operational, support, and platform improvement purposes. However, submitted data that has not been published or made public by the Tenant remains confidential and will not be shared with third parties without authorization.

Once a Tenant publishes catalog information, that information becomes publicly visible on the platform and may be accessed by any visitor.

Approval and Publication

Submitted consignments are subject to review and approval by the Tenant. The Company and Tenants reserve the right to reject, modify, or remove any submission at their sole discretion.

Notifications and Email Communications

Opt-In Subscriptions

Users may opt in to receive notifications about sales, catalog updates, or other information. By subscribing, you consent to receive emails from the Company or Tenants regarding your subscriptions.

CAN-SPAM Compliance

All email communications comply with the CAN-SPAM Act. You may unsubscribe from marketing or notification emails at any time by:

  • Clicking the unsubscribe link included in each email
  • Visiting your account settings to manage notification preferences
  • Contacting us at team@horseauctionreport.com

Transactional emails related to your account or submissions may continue to be sent as necessary for platform operation.

Intellectual Property

Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant the Company and relevant Tenants a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute the content solely for the purposes of providing the Service and promoting the associated sales or events.

Company Content

The Service, including its design, features, and functionality, is owned by Horse Auction Report LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without express written permission.

Prohibited Uses

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property or other rights of third parties
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems (bots, scrapers, etc.) without authorization
  • Harass, abuse, or harm other users

Disclaimers and Limitation of Liability

Service Provided "As-Is"

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

The Company does not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Information provided through the Service is accurate or reliable
  • Defects will be corrected
  • The Service or servers are free of viruses or other harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or similar elements transmitted through the Service
  • Any errors or omissions in content or for any loss or damage incurred from use of content
  • Any conduct or actions of Tenants, Consignors, buyers, or any third parties

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content or information you submit through the Service
  • Your participation in any equine activities, sales, or transactions

Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

Disputes with Other Users

You are solely responsible for your interactions with other users, Tenants, Consignors, and third parties. The Company reserves the right, but has no obligation, to monitor disputes between you and other users or to take any action regarding such disputes.

Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Cache County, Utah, and the parties irrevocably consent to the jurisdiction of such courts.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. The provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at Our sole discretion. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the use of the Service and supersede any prior agreements.
